1. Acceptance of Terms
Welcome to Talawa Youth Development and Educational Alliance ("Talawa," "we," "us," or "our"). By accessing or using our website at talawa.ca (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site.
2. About Talawa
Talawa Youth Development and Educational Alliance is a Canadian and Jamaican charitable organization dedicated to providing scholarships and educational support to children in Jamaica. Our mission is to empower Jamaican youth through education, breaking down barriers to learning and creating opportunities for success.
3. Use of the Site
3.1 Permitted Use
You may use our Site for lawful purposes only. You agree not to use the Site:
- In any way that violates any applicable federal, provincial, local, or international law or regulation
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
- To impersonate or attempt to impersonate Talawa, a Talawa employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site
- To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
3.2 User Account
Certain features of our Site may require you to create an account or provide information. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Donations and Financial Transactions
4.1 Donation Processing
Donations to Talawa are processed through GoFundMe, a third-party payment platform. By making a donation, you agree to GoFundMe's terms of service and privacy policy in addition to these Terms. All donations are final and non-refundable except as required by law or at our sole discretion.
4.2 Tax Receipts
Talawa is a registered Canadian charity. Eligible donations may receive tax receipts in accordance with Canadian tax laws. Tax receipts will be issued for the actual amount received by Talawa after any applicable fees charged by payment processors.
4.3 Use of Funds
We are committed to using donations responsibly and efficiently. While we strive to direct donations to specific programmes or purposes when designated by donors, we reserve the right to allocate funds where they are most needed to fulfill our charitable mission.
5. Scholarship Applications
5.1 Eligibility
Scholarship eligibility criteria are determined by Talawa and may change from time to time. By submitting a scholarship application, you confirm that all information provided is accurate and truthful.
5.2 Application Process
Submission of an application does not guarantee receipt of a scholarship. All scholarship decisions are made at the sole discretion of Talawa's selection committee. We are not obligated to provide reasons for acceptance or rejection of applications.
5.3 Verification
We reserve the right to verify any information provided in scholarship applications and may request additional documentation. Providing false or misleading information may result in disqualification and forfeiture of any scholarships awarded.
6. Intellectual Property Rights
6.1 Our Content
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Talawa, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2 Limited License
You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site without our prior written consent.
6.3 Trademarks
The Talawa name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Talawa Youth Development and Educational Alliance. You must not use such marks without our prior written permission.
7. User-Generated Content
If you submit, post, or transmit any content to our Site (including comments, testimonials, or application materials), you grant Talawa a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for our charitable purposes, including marketing and promotional activities.
8. Third-Party Links and Services
Our Site may contain links to third-party websites or services (such as GoFundMe) that are not owned or controlled by Talawa. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.
9. Disclaimers and Limitation of Liability
9.1 "As Is" Basis
THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TALAWA, ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE.
10. Indemnification
You agree to defend, indemnify, and hold harmless Talawa and its directors, officers, employees, volunteers, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ontario, Canada, and you hereby irrevocably consent to the personal jurisdiction and venue therein.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms.
13. Termination
We may terminate or suspend your access to our Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Site and supersede and replace any prior agreements we might have had between us regarding the Site.
